Happy Soul Moral Stories

“At Dinner With 22 Guests, My Boyfriend’s Wealthy Father Called Me ‘Street Garbage,’ Mocked My Foster-Care Childhood, and Said His Son Would Eventually Remember ‘What Family He Belongs To’—I Didn’t Argue. I Put Down My Napkin, Sent One Message, and When His CFO’s Phone Rang Seconds Later, the Entire Table Went Silent”

Part 2 of 3

That finally brought the general counsel into the conversation.

Her name was Diane Mercer, and until then she had barely spoken.

She set down her phone.

“Silas, don’t characterize it that way.”

He turned sharply.

“Excuse me?”

“The closing was already subject to unresolved diligence items.”

The room became quiet again.

Silas stared at her.

“What unresolved items?”

Diane looked toward Richard.

He didn’t answer.

I closed the folder.

That silence told me more than I expected.

The Numbers That Wouldn’t Stay Still

The concerns weren’t dramatic at first.

That was exactly why they bothered my team.

One cash report didn’t match another. Several expenses had been categorized in ways our attorneys wanted explained. A reserve account had moved shortly before financial information was provided to Meridian, making available liquidity look healthier than it otherwise would have.

None of that automatically proved fraud.

It did mean I wasn’t signing a financing agreement until I understood it.

Silas seemed to hear only one thing.

“You were already looking for a reason to interfere.”

“No.”

“Then why stop the money tonight?”

“Because Monday is the closing date.”

“And because I embarrassed you.”

I looked around the table.

Nobody had resumed eating.

“What you said made me reconsider whether I was comfortable ignoring questions involving a company you control.”

His jaw tightened.

“This is personal.”

Diane spoke before I could.

“The diligence issues aren’t personal.”

Silas turned toward her.

“We can discuss those Monday.”

“We were supposed to resolve them before Monday.”

Richard finally pushed his chair back.

“There’s another issue.”

Silas looked at him.

“Richard.”

Just his name.

Nothing else.

But Richard stopped speaking.

That small exchange was what bothered me most.

I opened the folder again.

“What issue?”

Silas answered for him.

“There is no issue.”

I looked at Richard.

“Is that true?”

He rubbed one thumb along the edge of his phone.

“There was a transfer involving the reserve account.”

Silas stood.

“We’re done.”

Diane stayed seated.

“No, we’re not.”

For the first time all evening, Silas looked uncertain.

Diane picked up her phone.

“I’m calling the directors who aren’t here.”

“You will do no such thing in my house.”

She looked up at him.

“I’m general counsel to the company, Silas. Not to your house.”

Nobody moved for several seconds.

Then one of the directors at the far end of the table closed his dinner menu and asked Richard to bring the financial records into the study.

Silas looked around as if waiting for somebody to remind everyone who he was.

Nobody did.

The white napkin remained beside my untouched plate.

And for the first time that night, Silas wasn’t deciding who belonged at his table.

The Board Meeting in the Library

The emergency board meeting began forty-three minutes later in the Vance family library.

I almost left.

I had no interest in turning a humiliating dinner into some performance where I sat in Silas Vance’s house and watched him lose his company.

But Diane asked me to stay long enough to explain Meridian’s position.

So I did.

Seven directors were physically present. Three joined remotely. Richard brought his laptop. Diane had a legal pad and the expression of someone who had been expecting an unpleasant conversation for weeks.

Silas stood near the fireplace instead of sitting with everyone else.

“Before this circus continues, everyone should understand why we’re here.”

Nobody answered.

He pointed toward me.

“She got offended.”

Diane looked down at her notes.

“We’re here because the company’s prospective lender suspended closing after unresolved diligence concerns.”

“After dinner.”

“Yes.”

“Immediately after I criticized her.”

“Also yes.”

He looked almost satisfied.

Then Diane continued.

“Neither fact makes the financial questions disappear.”

Richard opened the first report.

The explanation took less than ten minutes.

The reserve transfer had been temporary. Money had been moved shortly before Vance Biomedical reported its liquidity position and moved back afterward. There were also expenses associated with Silas’s office, travel, consultants, and properties that required review.

Silas called them ordinary executive expenses.

One director asked why some had been allocated to operating divisions that hadn’t incurred them.

Silas didn’t answer that question directly.

Instead, he looked at me.

“What do you want?”

“Nothing from you.”

“You stopped our financing.”

“Temporarily.”

That caught him.

“Temporarily?”

I nodded.

“I’m not putting thousands of employees in danger because you insulted me over dinner.”

Richard looked up.

Silas didn’t.

“If Meridian gets satisfactory answers and the board puts appropriate controls in place, we can reconsider funding.”

One director leaned forward.

“What controls?”

“Independent oversight of the money. Staged funding instead of the full amount at closing. No unexplained transfers. Normal reporting.”

Silas gave a humorless laugh.

“So you want control.”

“No. I want to know where our money goes.”

That was when Ethan walked into the library.

He had been outside for almost half an hour.

He stopped beside my chair.

Silas looked at him.

“Take Kira home.”

Ethan didn’t move.

“She’s staying.”
